Terms & Conditions

Last updated: Oct 2026

These terms cover using our website and working with us. Your proposal or agreement sets out the specifics of your project. If anything in it differs from these terms, your proposal or agreement wins.

Who we are

Struth Studio is a trading name of STRUTH LTD, registered in England and Wales (company number 17085039), registered office 49 Jamaica Street, Liverpool, England, L1 0AH. You can reach us at team@struth.uk.

Using our website

You’re welcome to browse and use our site for your own business. Please don’t copy our content, designs or branding without permission, or use the site for anything unlawful. We try to keep everything accurate and up to date, but we can’t guarantee the site will always be available or error-free.

Quotes and proposals

Quotes are valid for 30 days. Work starts once you’ve accepted your proposal and paid any upfront fee.

What’s included

Your proposal sets out exactly what we’ll do. Anything outside that is extra, and we’ll always tell you the cost before doing it. Our hourly rate for additional work is [£50] per hour.

Monthly retainers

  • Retainers run month to month unless your proposal says otherwise.
  • Either of us can end a retainer with 30 days' written notice. Email is fine.
  • Unused time or deliverables don't roll over to the next month.
  • We'll give you at least 30 days' notice of any price change.

Payment

  • Retainers are paid monthly in advance, before any work begins.
  • One-off projects (like websites and landing pages) usually need a [50%] deposit to book in, with the balance due before launch.
  • Invoices are due within [14] days unless we agree otherwise.
  • If a payment is late, we may pause work until it's paid. We may also charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
  • Prices are in GBP. We are not currently VAT registered, so no VAT is added to our prices.

Ad spend and third-party costs

Ad spend is paid by you directly to Meta (or other platforms) and is separate from our fees. The same goes for software, stock images, domains, hosting and any other third-party costs, unless your proposal says they’re included.

What we need from you

To do great work, we need you to:

  • send us the information, content, access and logins we ask for on time
  • fill in your Monthly Content Planner by the deadline (the Friday of week 2) if you're a social media client
  • review and approve content within 3 working days
  • tell us about anything that might affect your marketing, like changes to your offers, prices or availability
  • make sure anything you send us is yours to use (photos, logos, music, testimonials and so on)

If we don’t receive what we need in time, we’ll keep things moving using what we already have, and deadlines may move. If you haven’t given feedback within 3 working days of content being sent for approval, we’ll treat it as approved and publish as planned.

Changes and revisions

Your proposal says how many rounds of changes are included. Big changes of direction after something has been approved may be charged as extra work.

Results

We’ll always do our best work and give you honest advice, but we can’t guarantee specific results like follower numbers, leads, sales or ad performance. These depend on lots of things outside our control, including platform algorithms, your offer, pricing and how enquiries are followed up.

Platforms

Social media and ad platforms change their rules and features all the time. We’re not responsible for platform outages, account restrictions, rejected ads or changes made by Meta, Google or any other provider. We’ll always help you sort out any issues that come up.

Who owns what

  • Once you've paid in full, you own the final content, copy and designs we create specifically for you.
  • We keep ownership of our templates, processes, systems and know-how. We may reuse these for other clients, but never your branding or private information.
  • We may show work we've created for you in our portfolio and on social media, unless you ask us not to.
  • Toolie and any software we set up for you remains subject to its own terms.

Confidentiality

We’ll keep your business information, logins and data private and only use them to do the work. We ask you to keep our pricing, proposals and processes confidential too.

Our liability

We’re not liable for indirect losses such as lost profits, lost opportunities or lost data. Our total liability to you is limited to the fees you paid us in the 3 months before the issue arose. Nothing in these terms limits liability that can’t legally be limited, such as for death or personal injury caused by negligence, or for fraud.

Ending our work together

Either of us can end the agreement straight away if the other seriously breaks these terms and doesn’t fix it within 14 days of being asked. When our work ends:

  • you pay for all work done up to the end date
  • we'll hand over any final files you've paid for
  • we'll return or remove our access to your accounts

If you’re a consumer

Our services are designed for businesses. If you’re buying as an individual rather than a business, you may have a 14-day right to cancel under UK consumer law. If you ask us to start work within those 14 days, you’ll pay for the work done up to the point you cancel.

Disputes

If something goes wrong, please tell us and we’ll do our best to sort it out quickly. These terms are governed by the law of England and Wales, and any disputes will be handled by the courts of England and Wales.

Changes to these terms

We may update these terms from time to time. The version that applies to you is the one in place when you accepted your proposal.

Got a question about these terms?

We’re happy to talk it through. No jargon, just a straight answer.
